Official Terms and Conditions

Submission Period: November 5th, 2026 to December 3rd, 2026 (23:59 UTC)

Sponsor and Administrator: Overwolf Ltd., Tuval 40, Ramat Gan, Israel, doing business as Nitro (“Overwolf”, “Nitro”, “we” or “us”).

These official terms and conditions (these “Terms”) govern the Base44 x Nitro Web Game Contest (the “Contest”). By entering the Contest, each participant (an “Entrant” or “you”) accepts these Terms in full and agrees to be bound by them and by the decisions of Overwolf, which are final and binding in all matters relating to the Contest. If you do not accept these Terms, do not enter.

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. THE CONTEST IS A CONTEST OF SKILL. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

Sponsor and Administrator

1.1

The Contest is sponsored, organised, funded and administered solely by Overwolf. Overwolf is the only party to these Terms other than the Entrant and is solely responsible for the conduct of the Contest, the judging, the selection and notification of winners and the award and payment of prizes, in each case subject to and in accordance with these Terms.

1.2

Overwolf may engage service providers, agencies and guest judges, and may appoint the Community Panel under Section 8.3, to assist with the Contest. Doing so does not make any of them a sponsor of, or a party to, the Contest.

Status of Base44: Collaborator, Not a Party

2.1

Wix.com Ltd., which operates the Base44-branded AI application-building platform available at base44.com, together with its parent, subsidiaries and affiliates and each of their respective officers, directors, employees, contractors, agents and representatives (collectively, “Base44”), participates in the Contest solely as a collaborator (the “Collaborator”). As Collaborator, Base44 makes its platform available for building Submissions, hosts the community vote on its Launch Pad and Discord community, makes members of its personnel available to serve on the Community Panel at Overwolf’s request and supports the promotion of the Contest. Base44 does nothing further in connection with the Contest.

2.2

Base44 is not a sponsor, organiser, promoter, operator or administrator of the Contest and is not a party to these Terms. Base44 has no obligation of any kind to any Entrant or to any other person under or in connection with the Contest. Without limiting the foregoing, Base44 is not responsible for, and gives no assurance regarding, the conduct of the Contest, the judging, the community vote or its results, the selection, verification or notification of winners, the award, payment or delivery of any prize, the Contest Page, or any act or omission of Overwolf, any Judge or any Entrant. Members of the Community Panel serve on it by appointment of Overwolf, and their service does not make Base44 responsible for the judging or for the selection of any winner.

2.3

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BASE44 SHALL HAVE NO LIABILITY WHATSOEVER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), UNDER STATUTE OR OTHERWISE, TO ANY ENTRANT OR ANY THIRD PARTY ARISING OUT OF OR IN CONNECTION WITH THE CONTEST, PARTICIPATION IN IT, ANY SUBMISSION OR ANY PRIZE. EACH ENTRANT IRREVOCABLY AND UNCONDITIONALLY RELEASES AND DISCHARGES BASE44 FROM, AND COVENANTS NOT TO BRING OR PURSUE, ANY CLAIM, DEMAND, ACTION OR PROCEEDING AGAINST BASE44 IN RESPECT OF ANY LOSS, DAMAGE, COST OR EXPENSE OF ANY KIND ARISING OUT OF OR RELATING TO THE CONTEST.

2.4

Your use of the Base44 platform, including the creation, hosting and deployment of your Submission and your participation in the Base44 Launch Pad and Discord community, is governed exclusively by Base44’s own terms of service, acceptable use rules and privacy policy as published by Base44 from time to time (the “Base44 Terms”). The Base44 Terms are a separate arrangement between you and Base44. Nothing in these Terms amends, supplements or waives the Base44 Terms, and Overwolf is not a party to them. Overwolf is not responsible for the Base44 platform or for its availability, performance, pricing, features, output, data handling, moderation or any change to or discontinuation of it, and no such matter entitles any Entrant to any claim against Overwolf.

2.5

Nothing in these Terms, and nothing in the Contest, creates any partnership, joint venture, agency, fiduciary or employment relationship between Overwolf and Base44, or between either of them and any Entrant. Neither Overwolf nor Base44 has authority to bind the other.

2.6

Base44 is an intended third-party beneficiary of this Section 2 and of Sections 12, 13, 15 and 16 and may rely on and enforce them directly. No other person has any right to enforce these Terms.

Contest Period

3.1

The Contest runs according to the following schedule, all times being Coordinated Universal Time (UTC):

  1. (a)

Submission Period: opens on November 5th, 2026 at 00:00 UTC and closes on December 3rd, 2026 at 23:59 UTC (the “Submission Period”).

  2. (b)

Community Voting Period: opens on November 5th, 2026 at 00:00 UTC and closes on December 3rd, 2026 at 23:59 UTC (the “Community Voting Period”).

  3. (c)

Judging Period December 4th, 2026 to December 9th, 2026 (the “Judging Period”).

  4. (d)

Winner Announcement: on or about December 10th, 2026.

3.2

Overwolf’s systems are the official time-keeping device for the Contest. A Submission received after the close of the Submission Period will not be considered. Overwolf may adjust any of the above dates in accordance with Section 14.

Eligibility

4.1

The Contest is open to natural persons who, at the time of entry:

  1. (a)

    are at least eighteen (18) years of age and have reached the age of majority in their jurisdiction of residence;

  2. (b)

    hold a valid Base44 account in good standing registered in their own name. A free Base44 account is sufficient; no paid subscription is required to enter or to win;

  3. (c)

are not resident in, located in or ordinarily operating from a country or territory that is the subject of comprehensive sanctions administered by the United States, the European Union, the United Kingdom or the State of Israel, and are not named on any applicable sanctions or restricted-party list; and

  4. (d)

are legally permitted to participate in the Contest and to receive a prize under the laws of their jurisdiction of residence.

4.2

The following persons are not eligible to enter or win: officers, directors, employees, contractors and agents of Overwolf or Base44 or of any of their respective parents, subsidiaries or affiliates; the Judges and the members of the Community Panel; any person engaged in the design, administration, promotion or judging of the Contest, including advertising, promotion, public relations and influencer agencies; and the immediate family members (spouse, partner, parent, child or sibling, in each case including step and in-law relations) and household members of any of the foregoing.

4.3

Entrants may enter individually or as a team of up to four (4) natural persons, each of whom must satisfy this Section 4 (a “Team”). A Team must designate one member as its representative (the “Team Representative”), who submits the Submission, is Overwolf’s sole point of contact and receives any prize on behalf of the Team. Payment of a prize to the Team Representative fully discharges Overwolf’s obligations to every member of the Team. The division of any prize among Team members is solely a matter for the Team, and Overwolf has no responsibility for it. References in these Terms to an Entrant include each member of a Team, jointly and severally.

4.4

Overwolf may require satisfactory proof of identity, age, residence and eligibility at any time and may disqualify any Entrant who fails to provide it. The Contest may not be available in every jurisdiction and is void where prohibited or restricted by law. Entrants are responsible for ensuring that their participation is lawful where they reside.

How to Enter

5.1

To enter, an Entrant must, during the Submission Period:

  1. (a)

    build a browser-based game website using the Base44 platform;

  2. (b)

deploy the game so that it is live and publicly accessible at a stable URL; and

  3. (c)

submit the game through the official Contest submission page at nitropay.com/base44webgame on the Base44 Launch Pad (the “Contest Page”), providing all information requested there, including the Entrant’s full name, a valid email address, the Base44 account used, the game’s title, URL and description and, for a Team, the names of all Team members.

5.2

Each game submitted in accordance with Section 5.1 is a “Submission”. Each Entrant or Team may enter one (1) Submission. Where more than one Submission is received from the same Entrant or Team, or from the same person as a member of different Teams, only the first complete Submission received will be considered unless Overwolf determines otherwise. Entries generated by script, macro, bot or other automated means, and entries that are incomplete, illegible or do not comply with these Terms, are void.

5.3

There is no entry fee. Overwolf is not responsible for Submissions that are lost, late, incomplete, misdirected, corrupted or not received for any reason, including any failure, interruption or unavailability of the Base44 platform, the Contest Page or any network or service.

Submission Requirements

6.1

Each Submission must satisfy all of the following requirements, as determined by Overwolf in its sole discretion:

  1. (a)

    it is a browser-based game or web game that is playable in a current version of a standard desktop or mobile web browser without any download, installation, plug-in or extension;

  2. (b)

    it was built using the Base44 platform;

  3. (c)

    it is a new build created during the Submission Period. Pre-existing projects, projects started before the Submission Period, re-publications or re-skins of existing games, and games substantially copied from a template, tutorial or another game are not eligible;

  4. (d)

    it is free to access and play in full, with no login, registration, subscription, payment, paywall, in-game purchase or other condition required to play it;

  5. (e)

    it is and remains live and publicly accessible at the submitted URL, without material change, from the time of submission until the end of the Judging Period, and thereafter for at least ninety (90) days following the winner announcement;

  6. (f)

it does not contain, use or reproduce any intellectual property of any third party, including any copyrighted work, trademark, trade name, logo, character, artwork, music, sound, video, game asset, name, image or likeness, unless the Entrant holds a written licence or the material is used under an open licence whose conditions the Entrant has fully satisfied; and

  7. (g)

it complies with the Content Standards in Section 7, the Base44 Terms and all applicable laws.

6.2

The Entrant is solely responsible for the Submission and for any domain, hosting, third-party service, API, asset or tool used in it, and for all related costs. Overwolf may at any time require reasonable evidence that a Submission satisfies Section 6.1, including access to the Base44 project, its creation and edit history and the source of any asset used, and may disqualify a Submission where such evidence is not provided or is unsatisfactory.

6.3

An Entrant may continue to update a Submission until the close of the Submission Period. After that time, a Submission may not be materially changed until the winners have been announced. A Submission that is materially changed, taken offline or placed behind a login or paywall during that time may be disqualified.

Content Standards

7.1

A Submission must not contain or promote content that is unlawful, defamatory, obscene, pornographic or sexually explicit, hateful, discriminatory, harassing, threatening, violent or extremist, or that is otherwise objectionable, and must not be directed at or knowingly collect personal data from children under the age of thirteen (13) or the applicable age of digital consent.

7.2

A Submission must not contain malware, spyware, trackers, crypto-mining scripts or other harmful or deceptive code; must not facilitate gambling, wagering or lotteries for money or anything of value; must not infringe or misappropriate any right of any person, including any intellectual property, privacy or publicity right; and must not disparage Overwolf, Nitro, Base44 or any other person.

7.3

Overwolf alone determines whether a Submission meets these Content Standards and may remove, exclude or disqualify any Submission at any time without notice.

Judging and Community Vote

8.1

Prizes are awarded in two tracks: the Judging Panel Prizes and the Community Favourite Prizes. The same Submission is eligible to win in both tracks. Every prize is awarded on merit: the Judging Panel Prizes on the scores of the Judges, and the Community Favourite Prizes on the ranking of the Community Panel under Section 8.3. No element of chance, lottery, raffle, sweepstakes, random drawing or random selection is involved at any stage in the determination of any winner or in the allocation of any prize.

8.2

Judging Panel Prizes. All eligible Submissions are evaluated by a panel of judges selected by Overwolf, which may include executives of Overwolf, Nitro and Base44 and invited guest judges (the “Judges”). Overwolf may change the composition of the panel at any time. The Judges score each Submission against three equally weighted criteria: Gameplay Quality (how enjoyable, polished and replayable the game is), Creativity (originality of concept, design and presentation) and Technical Execution (performance, stability, responsiveness and quality of the build). The Judges may first produce a shortlist. Each criterion is subject to the Judges’ own professional interpretation. If two or more Submissions receive the same total score, the Submission with the higher score for Gameplay Quality ranks higher, then the higher score for Technical Execution, then the higher score for Creativity; any tie that remains is resolved by a further deliberation and majority vote of the Judges on the merits, never by lot. The decisions of the Judges and of Overwolf are final and binding, and no correspondence will be entered into.

8.3

Community Favourite Prizes. The Community Favourite Prizes are awarded in two stages.

  1. (a)

Community Shortlist. At the close of the Community Voting Period, the twenty-five (25) eligible Submissions with the highest number of valid upvotes on the Contest Page on the Base44 Launch Pad, as recorded by the Base44 platform and as determined by Overwolf under Section 8.4, form the shortlist (the “Community Shortlist”). If two or more Submissions are tied for the last place on the Community Shortlist, the Submission submitted earlier is included. If a Submission on the Community Shortlist is disqualified or found ineligible before the winners are selected, the eligible Submission with the next highest number of valid upvotes takes its place. Upvotes determine only which Submissions are on the Community Shortlist; they do not determine the winners or their order.

  2. (b)

Selection of winners. During the Judging Period, a panel of Base44 personnel appointed by Overwolf (the “Community Panel”) evaluates each Submission on the Community Shortlist against the criteria set out in Section 8.2 and ranks them. The highest-ranked Submission receives the Community Favourite First Place Prize and the next ten (10) ranked Submissions each receive a Community Runner-Up Prize. Any tie in the ranking is resolved by further deliberation and majority vote of the Community Panel on the merits, never by lot. The decisions of the Community Panel and of Overwolf are final and binding.

  3. (c)

Voting mechanics, including the requirement to hold a Base44 account to vote, are those of the Base44 Launch Pad from time to time.

8.4

Vote integrity. Only one (1) upvote per natural person per Submission is permitted. Votes obtained through bots, scripts, automated tools, fake, duplicate or purchased accounts, vote exchanges, payment or any other incentive, or through any other manipulation, are invalid. Overwolf may audit the vote, discount any vote it considers invalid, adjust the displayed vote count and disqualify any Submission benefiting from manipulation, whether or not the Entrant procured it. The vote counts displayed on the Contest Page are indicative only; Overwolf’s determination of the valid vote count is final.

8.5

Overwolf reserves the right not to award a prize, or to award fewer prizes than stated, where it receives fewer eligible Submissions than there are prizes in a track or where, in the reasonable opinion of the Judges or, for the Community Favourite Prizes, the Community Panel, the eligible Submissions do not meet a minimum standard of quality.

Prizes

9.1

The total prize pool is sixty-five thousand United States dollars (USD 65,000), funded and paid solely by Overwolf, and is allocated as follows:

PrizeNumber of prizesAmount per prize (USD)Track total (USD)

Judging Panel: Second Place110,000
Judging Panel: Third Place15,000
Judging Panel: Runner-Up101,000

Community Favourite: Community Runner-Up*101,000
Total2465,000

*Community Favourite Prizes are awarded by the Community Panel from the Community Shortlist, as described in Section 8.3. Upvotes determine the Community Shortlist only, not the winners or their order.

9.2

A Submission may receive at most one (1) Judging Panel Prize and at most one (1) Community Favourite Prize. Prizes are paid in United States dollars by bank transfer or by such other electronic payment method as Overwolf may select, to the account designated by the winner (or Team Representative), within sixty (60) days after Overwolf has completed verification of the winner under Section 10. Overwolf bears its own transfer fees. Fees charged by the winner’s bank or any intermediary, and any currency conversion cost, are borne by the winner.

9.3

Prizes are personal to the winner, are not transferable or assignable and may not be substituted at the winner’s request. Overwolf may substitute a prize of equal or greater value if a stated prize cannot be awarded for any reason. No more than the stated number of prizes will be awarded.

9.4

All taxes, levies, duties and charges of any kind arising from the receipt of a prize are the sole responsibility of the winner. Overwolf may withhold or deduct from any prize any amount it is required by law to withhold, and may require the winner to provide tax documentation (such as a Form W-9, Form W-8BEN or equivalent), identity and anti-money-laundering documentation and any other information reasonably required before payment is made. A winner who fails to provide the required documentation within thirty (30) days of request forfeits the prize.

Winner Notification and Verification

10.1

Potential winners will be notified by email to the address provided in the Submission within seven (7) days after the end of the Judging Period. A potential winner must respond within fourteen (14) days of the notification and must, within the period stated in the notification, confirm eligibility, provide satisfactory proof of identity and age, provide payment and tax details, and sign and return any declaration of eligibility, release of liability and, where lawful, publicity consent that Overwolf reasonably requires. Overwolf may also verify that the Submission was built on the Base44 platform during the Submission Period and otherwise complies with Section 6.

10.2

If a potential winner cannot be contacted, does not respond or comply within the stated periods, declines the prize, is found to be ineligible or in breach of these Terms, or if a prize notification is returned as undeliverable, the potential winner forfeits the prize and Overwolf may award it to the next eligible Submission in the relevant ranking. Winners will be announced on or about December 10th, 2026 on the Contest Page and through the websites, newsletters, social media and community channels of Overwolf, Nitro and Base44.

Intellectual Property and Licence

11.1

Subject to the Base44 Terms, each Entrant retains ownership of the intellectual property rights in its Submission. Entering the Contest does not transfer ownership of any Submission to Overwolf or to Base44.

11.2

By entering, each Entrant grants to Overwolf and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable and sublicensable licence to host, store, reproduce, display, perform, embed, link to, distribute, communicate to the public, adapt for technical, formatting or accessibility purposes, and otherwise use the Submission and its title, description, screenshots, video and gameplay footage, in whole or in part, in any media now known or later developed: (a) to administer, judge and verify the Contest; (b) to advertise and promote the Contest, Overwolf, Nitro, Base44 and their respective products and services, during and after the Contest; and (c) to make the Submission available to the public on websites, applications and other properties owned or operated by Overwolf or its affiliates, including any dedicated showcase or arcade of Contest Submissions, where it may be presented alongside other Submissions and advertising, in each case without further notice, consent or compensation.

11.3

Each Entrant grants to Base44 the licence described in Section 11.2 for the purposes stated in Sections 11.2(a) and 11.2(b).

11.4

Nothing in these Terms obliges Overwolf or Base44 to use, display or promote any Submission. Any ad monetisation of a Submission on the Entrant’s own website is at the Entrant’s election and, where the Entrant chooses Nitro, is governed by a separate Nitro publisher agreement and not by these Terms.

11.5

Each Entrant represents and warrants that: (a) the Submission is the Entrant’s own original work created during the Submission Period; (b) the Entrant owns or has obtained all rights, licences, consents and permissions necessary to make the Submission and to grant the licences in this Section 11, including from every contributor and from every person whose name, image, voice or likeness appears in it; (c) the Submission, and its use as permitted by these Terms, does not and will not infringe, misappropriate or violate any intellectual property, privacy, publicity, contractual or other right of any person or any applicable law; (d) any AI-generated code, text, image, audio or other component of the Submission was generated and is used in compliance with the terms of the tool that generated it and does not reproduce any protected third-party work; and (e) the Submission is not subject to any claim, lien or encumbrance.

11.6

To the extent permitted by law, each Entrant waives, and agrees not to assert against Overwolf, Base44 or their licensees, any moral rights or similar rights in the Submission in connection with the uses permitted by these Terms.

Publicity

12.1

Except where prohibited by law, acceptance of a prize constitutes the winner’s consent for Overwolf and Base44, and their respective affiliates and licensees, to use the winner’s name, username, Base44 handle, likeness, voice, image, city and country of residence, biographical information, statements about the Contest, and the title, footage and images of the winning Submission, for advertising, promotional and publicity purposes, in any media worldwide, without further notice, review, consent or compensation.

Disqualification and Contest Integrity

13.1

Overwolf may, in its sole discretion and without notice, disqualify any Entrant or Submission and void any entry or vote where it determines that the Entrant has breached these Terms or the Base44 Terms; has provided false, inaccurate or misleading information; has submitted content that is not original or not eligible; has used multiple, shared, fake or automated accounts; has manipulated or attempted to manipulate the entry process, the judging or the community vote; has acted in a disruptive, abusive or unsportsmanlike manner or with intent to annoy, threaten or harass any other person; or has otherwise acted in a way that undermines the fairness or integrity of the Contest.

13.2

Any attempt to deliberately damage any website or platform used for the Contest or to undermine its legitimate operation may be a violation of criminal and civil law. Overwolf reserves the right to seek damages and other remedies from any person responsible for such an attempt to the fullest extent permitted by law.

13.3

A disqualified Entrant forfeits any prize, and Overwolf may require the return of any prize already paid to an Entrant subsequently found to have been ineligible or in breach of these Terms.

Modification, Suspension and Cancellation

14.1

Overwolf may, in its sole discretion, amend these Terms, extend or shorten the Submission Period, the Community Voting Period or the Judging Period, or modify, suspend or cancel the Contest or any part of it at any time, including where fraud, technical failure, unavailability of the Base44 platform or the Contest Page, a change in law, an event of force majeure or any other cause beyond Overwolf’s reasonable control impairs, in Overwolf’s judgement, the administration, security, fairness, integrity or proper conduct of the Contest.

14.2

Where the Contest is cancelled or terminated early, Overwolf may, but is not obliged to, award prizes from among the eligible Submissions received before the cancellation or termination. Changes will be published on the Contest Page and take effect on publication. Continued participation after publication constitutes acceptance of the amended Terms.

Release and Limitation of Liability

15.1

By entering, each Entrant, to the fullest extent permitted by applicable law, releases, discharges and agrees to hold harmless Overwolf, Base44, their respective parents, subsidiaries and affiliates, the Judges, the members of the Community Panel, and the advertising, promotion, public relations, payment and other service providers of any of them, and each of their respective officers, directors, employees, contractors, agents, successors and assigns (collectively, the “Released Parties”) from and against any and all claims, demands, liabilities, losses, damages, costs and expenses of any kind, whether known or unknown, arising out of or in connection with the Contest, participation in it, any Submission, the community vote, or the acceptance, receipt, possession, use or misuse of any prize, including any claim relating to personal injury, death, property damage, infringement of intellectual property or other rights, loss of data, technical malfunction or unavailability of any platform or network, delay in or failure of payment, or any tax liability.

15.2

THE CONTEST, THE CONTEST PAGE AND ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

15.3

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) NO RELEASED PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE CONTEST, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (B) THE TOTAL AGGREGATE LIABILITY OF OVERWOLF AND THE OTHER RELEASED PARTIES TO ANY ENTRANT ARISING OUT OF OR IN CONNECTION WITH THE CONTEST SHALL NOT EXCEED THE AMOUNT OF THE PRIZE, IF ANY, THAT THE ENTRANT WAS ENTITLED TO RECEIVE UNDER THESE TERMS, OR ONE HUNDRED UNITED STATES DOLLARS (USD 100) IF NO PRIZE WAS AWARDED; AND (C) THE LIABILITY OF BASE44 IS EXCLUDED IN ITS ENTIRETY IN ACCORDANCE WITH SECTION 2.

15.4

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limitations, and in those jurisdictions the exclusions and limitations in this Section 15 apply to the maximum extent permitted.

Indemnity

16.1

Each Entrant shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, actions, demands, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Entrant’s Submission, including any claim that it infringes, misappropriates or violates the rights of any person; (b) any breach by the Entrant of these Terms, including any representation or warranty in Section 11; (c) the Entrant’s violation of any applicable law or of the Base44 Terms; or (d) any act or omission of a member of the Entrant’s Team.

Privacy

17.1

Personal data that Overwolf collects in connection with the Contest, including through the Contest Page, is processed by Overwolf as controller in accordance with the Overwolf Privacy Policy available at https://www.overwolf.com/legal/privacy for the purposes of administering the Contest, verifying eligibility, communicating with Entrants, paying prizes, complying with legal, tax and accounting obligations, exercising the licences and consents in Sections 11 and 12, and protecting the integrity of the Contest. Overwolf may share personal data for these purposes with its affiliates, service providers and payment processors, with tax and other authorities where required by law and, to the extent necessary to run the community vote and announce the winners, with Base44.

17.2

Personal data collected through the Base44 platform, the Base44 Launch Pad or the Base44 Discord community is collected and processed by Base44 under the Base44 Terms and Base44’s privacy policy, for which Overwolf has no responsibility.

17.3

Entering the Contest does not of itself constitute consent to receive marketing communications. Entrants will receive marketing communications from Overwolf or Nitro only where they have separately opted in, and may withdraw that consent at any time.

General

18.1

These Terms are governed by the laws of the State of Israel, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms or the Contest shall be resolved exclusively in the competent courts of Tel Aviv-Yafo, Israel, and each Entrant submits to their exclusive jurisdiction. Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of the consumer’s country of residence that cannot be excluded by agreement.

18.2

These Terms, together with the Overwolf Terms of Use and the Overwolf Privacy Policy, which are incorporated by reference, constitute the entire agreement between Overwolf and each Entrant regarding the Contest. In the event of any conflict between these Terms and any other Contest material, including the Contest Page, social media posts, emails or advertising, these Terms prevail.

18.3

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. No failure or delay by Overwolf in exercising any right under these Terms operates as a waiver of it. Overwolf may assign these Terms, in whole or in part, to any affiliate or successor. Entrants may not assign their rights or obligations under these Terms.

18.4

These Terms are drafted in English. Any translation is for convenience only, and the English version prevails in the event of any inconsistency. Section headings are for convenience only.

18.5

The Contest is in no way sponsored, endorsed, administered by or associated with Discord Inc., Reddit, Inc., Meta Platforms, Inc., X Corp., Google LLC, YouTube or any other social media or communication platform through which it may be promoted, and each Entrant releases those platforms from any liability in connection with the Contest.

18.6

A list of the winners may be obtained by sending a request to base44xnitro@overwolf.com within sixty (60) days after the winner announcement. Questions about the Contest may be sent to the same address.
